GSI GlobalCert Platform Terms of Service

1. Acceptance of Terms

This Terms of Service document ("Terms") is a legally binding agreement between you ("User," "you," or "your") and GSI (German Scientific Institute for Quality, Testing and Certification) ("GSI," "we," "us," or "our"). These Terms govern your access to and use of the GSI GlobalCert platform, including any associated websites, mobile applications, content, and services (collectively, the "Platform").

By creating an account, or by accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Platform on behalf of an organization or entity ("Organization"), you are agreeing to these Terms for that Organization and promising to GSI that you have the authority to bind that Organization to these Terms. In that case, "you" and "your" will refer to that Organization.

If you do not agree to these Terms, you must not access or use the Platform.

2. Description of the GSI GlobalCert Platform

The GSI GlobalCert Platform is a one-stop, cloud-based platform designed to simplify and automate the global product certification journey. It functions as a digital marketplace and workflow automation tool, seamlessly connecting various stakeholders in the certification industry. Our goal is to make the certification process transparent, efficient, and accessible for all participants.

The Platform's services include, but are not limited to:

• A centralized gateway for Manufacturers to submit certification requests for multiple target countries.
• Tools for Manufacturers to track every stage of the certification process in real-time, manage documentation securely, and manage the entire lifecycle of their certificates.
• A system for Certification Bodies and Testing Laboratories to receive targeted, qualified leads based on their accreditation scope, manage projects, and automate internal workflows.
• A directory and project-matching service for Experts and Auditors to gain global visibility and connect with relevant projects.
• An integrated CRM and database for Independent Consultants to manage client relationships and access a network of providers and experts.

GSI provides the Platform to facilitate these connections and workflows. GSI is not a certification body, testing laboratory, or auditing firm and is not a party to any agreement entered into between Users of the Platform. GSI has no control over the conduct of Users and disclaims all liability in this regard to the maximum extent permitted by law.

3. User Accounts and Registration

3.1. Account Creation

To access most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2. User Personas

The Platform defines five main classes of Users ("Personas"):

• Manufacturer (Client): An organization seeking product or management system certification.
• Certification Body / Testing Laboratory (Provider): An organization providing certification, testing, or related services.
• Expert / Auditor (Contractor): An individual professional offering specialized services in the certification field.
• Independent Consultant (Partner): An individual or organization acting as a liaison between Manufacturers and Providers.
• Platform Administrator (Admin): An authorized employee or agent of GSI managing the Platform.

Your access to features and functionalities will depend on your assigned Persona and subscription level.

3.3. Account Security

You are responsible for safeguarding your password and any other credentials used to access your account. You, and not GSI, are responsible for any activity occurring in your account, whether or not you authorized that activity. If you become aware of any unauthorized access to your account, you must notify GSI immediately.

3.4. Tenant Administration

If you are designated as a "Tenant Administrator" for your Organization, you are responsible for managing user accounts, roles, and permissions within your Organization's tenant space on the Platform. You are responsible for the actions of all users associated with your tenant.

4. Subscriptions, Fees, and Payment

4.1. Subscription Plans

GSI offers various subscription tiers for using the Platform, which may include a free tier with limited functionality ("Tier-0") and paid tiers with enhanced features ("Tier-1 Pro," "Tier-2 Ultimate"). The specific features, limits, and pricing for each tier are detailed on our website and may be updated from time to time.

4.2. Subscription Fees

By selecting a paid subscription, you agree to pay GSI the applicable recurring fees (monthly or annually). All fees are due in advance. We will automatically charge your selected payment method on file according to your subscription term.

4.3. Project Fees ("Success Fee")

In addition to subscription fees, GSI may charge a transactional fee, referred to as a "Success Fee," upon the successful completion of certain project milestones between a Manufacturer and a Provider. This fee will be clearly disclosed and automatically processed through the Platform's billing system.

4.4. Payment and Billing

• User Wallet: Each User tenant is provided with a virtual wallet on the Platform to manage balances and track all financial activities.
• Payment Methods: We use a third-party payment processor (e.g., Stripe, Adyen) to handle all payments. By providing a payment method, you authorize us to charge the applicable fees.
• Late Payments: If your payment method fails, we will provide you with notice. If the payment is not successfully settled within a specified period, we reserve the right to suspend or terminate your access to the paid features of the Platform and downgrade your account to the free tier.

4.5. Taxes

All fees are exclusive of applicable national, provincial, state, local or other taxes, unless otherwise stated. You are responsible for paying all such taxes.

5. User Content and Data

5.1. Your Content

You retain full ownership of all documents, data, and information you upload, submit, or create on the Platform ("Content"). This includes technical files, audit reports, chat messages, and any other proprietary information.

5.2. License to GSI

By using the Platform, you grant GSI a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your Content solely for the purposes of operating, developing, providing, and improving the Platform and its services. For example, we need this license to store your documents, display them to you and other users you choose to collaborate with, and process them to facilitate the certification workflow.

5.3. Your Responsibility for Content

You are solely responsible for your Content. You represent and warrant that you have all the rights, power, and authority necessary to grant the rights granted herein to any Content that you submit and that your Content does not violate any third-party rights or any applicable laws.

5.4. Data Privacy

Our collection and use of personal data in connection with your access to and use of the Platform is described in our Privacy Policy.

6. Acceptable Use Policy

You agree not to misuse the Platform or help anyone else to do so. You agree not to, and will not attempt to, do any of the following in connection with the Platform:

• Probe, scan, or test the vulnerability of any system or network;
• Breach or otherwise circumvent any security or authentication measures;
• Access, tamper with, or use non-public areas of the Platform;
• Interfere with or disrupt any user, host, or network, for example by sending a virus, overloading, flooding, spamming, or mail-bombing any part of the services;
• Plant malware or otherwise use the Platform to distribute malware;
• Access or search the Platform by any means other than our publicly supported interfaces;
• Send unsolicited communications, promotions or advertisements, or spam;
• Submit or share Content that is unlawful, defamatory, libelous, harassing, threatening, harmful, or otherwise objectionable;
• Misrepresent your identity, your professional qualifications, or your affiliation with any person or entity;
• Violate the law in any way, including storing or sharing Content that's fraudulent, defamatory, or misleading, or that violates the privacy or infringes the rights of others.

We reserve the right to monitor platform activity for security and fraud prevention purposes. We may suspend or terminate your account for violations of this Acceptable Use Policy.

7. Intellectual Property

The Platform and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of GSI and its licensors. The Platform is protected by copyright, trademark, and other laws of Germany and foreign countries. Our trademarks may not be used in connection with any product or service without the prior written consent of GSI.

8. Termination

You are free to stop using our Platform at any time. We reserve the right to suspend or terminate your access to the Platform with or without notice at any time, for any reason, including, but not limited to, a breach of these Terms. For example, we may suspend or terminate your access for failure to pay fees or for suspected fraudulent activity.

Upon termination, your right to use the Platform will immediately cease. We may, but are not obligated to, delete your Content from our systems.

9. Disclaimers and Limitation of Liability

"AS IS" BASIS: THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GSI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NO GUARANTEE OF SERVICE: GSI DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. THE INFORMATION, RATINGS, AND SERVICES PROVIDED THROUGH THE PLATFORM ARE FOR INFORMATIONAL PURPOSES ONLY. GSI IS NOT RESPONSIBLE FOR THE ACCURACY, RELIABILITY, OR QUALITY OF SERVICES PROVIDED BY ANY USER (INCLUDING PROVIDERS AND EXPERTS). ANY DECISIONS YOU MAKE BASED ON INFORMATION OBTAINED FROM THE PLATFORM ARE AT YOUR OWN RISK.

LIMITATION OF LIABILITY: TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL GSI, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM.

10. Indemnification

You agree to defend, indemnify, and hold harmless GSI and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Platform, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Platform.

11. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Germany, without regard to its conflict of law provisions.

Any disputes arising from or relating to the subject matter of these Terms shall be finally settled in the courts of Munich, Germany.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Platform after any revisions become effective, you agree to be bound by the revised terms.
